The aim is to discuss the concept and model as well as the governance structure appropriate to the management of small family businesses in Brazil, because this can minimize agency problems related to family ownership. Governance is an instrument of control and management that puts the companies in line with the market, which includes the company's relationship with stakeholders. This study is an exploratory and descriptive research, the case study with a qualitative approach. The results indicate that the governance structure adopted in the family business is not considered consistent with any model in the literature, which emphasizes the large enterprise and corporate governance. The studied case presents peculiarities and dynamics consistent with the characteristics of the owning family, with loosely structured systems and decision-making process guided by the market dynamics.Downloads
