Corporate governance and entrepreneurial orientation in Brazilian companies: validation of a measurement scale

Abstract

The article aims to demonstrate the application of exploratory and confirmatory factor analysis in the development of a scale for measuring Entrepreneurial Corporate Governance (ECG), in privately held Brazilian companies, from items of the dimensions of the Corporate Governance (CG) constructs and Entrepreneurial Orientation (EO). Data were collected through a questionnaire from 828 company managers, using 300 responses for exploratory factor analysis and 528 for confirmatory factor analysis. At the end of the statistical tests, the 21 items of the scale were grouped into three dimensions (transparency / accountability, corporate responsibility and equity), different from the four dimensions presented in the literature. ECG, then, represents a new prism for having incorporated the dimensions of EO into those of CG, so that the CG of organizations are more focused on innovation, risk propensity, proactivity, competitive aggressiveness and autonomy.
